Welcome to ProfiHitch! These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ProfiHitch, LLC ("ProfiHitch," "we," "us," or "our") governing your access to and use of the ProfiHitch platform, website, mobile applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms.

If you are using the Service on behalf of an organization or entity, you represent and warrant that you are authorized to bind that organization or entity to these Terms.

Introduction

By using ProfiHitch, you agree to be bound by these Terms and any modifications made to them. We may update these Terms at any time and will notify you of changes via our website, mobile application, or email. Continued use of the Service after such updates constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Service.

Definitions

• Account: A registered account created by a Job Seeker or Employer on the ProfiHitch platform.
• Job Seeker: An individual using ProfiHitch to explore and apply for job opportunities.
• Employer: An organization, company, or entity using ProfiHitch to post job openings and connect with candidates.
• Tokens: Units used by Employers to engage with Job Seekers and manage recruitment workflows.
• User Content: Any information, data, or materials submitted by users, including resumes, job descriptions, and profiles.

Eligibility

To use the Service, you must be at least 18 years old and legally permitted to enter into binding contracts under applicable law. You may not access or use the Service if you have been suspended or banned from using it. You are responsible for ensuring your use of ProfiHitch complies with all applicable laws and regulations.

Account Registration and Responsibilities

To access certain features, you must create an Account. You agree to provide accurate, current, and complete information and to maintain and promptly update it as necessary. You are solely responsible for safeguarding your account credentials and for all activity occurring under your account.

Verification Process (Job Seekers):

Job Seekers must complete a verification process, during which ProfiHitch staff review submitted resumes/CVs. Only verified Job Seekers gain full access to platform features such as AI-driven matching, messaging, and visibility controls. A verified badge will appear on their profile upon successful review.

Use of Services

For Employers:

• Only legitimate job openings may be posted.
• All job descriptions must be accurate, lawful, and non-discriminatory.
• Employers must not spam or misrepresent opportunities.
• Tokens must be used responsibly and in accordance with platform rules.

For Job Seekers:

• Profiles must be accurate, complete, and kept up to date.
• Job Seekers have control over their profile visibility and can restrict access to staffing and recruitment firms.
• Job Seekers must only use the platform to pursue genuine employment opportunities.

Staffing Agency and Recruitment Firms:

Staffing and recruitment firms are treated as Employers but may only use the Service if a Job Seeker has explicitly opted in through their visibility preferences.

ProfiHitch does not guarantee access to Job Seeker information for third-party recruiters unless such permission is granted.

Misuse of the platform or attempts to circumvent visibility restrictions may result in account suspension or termination.

Mobile Applications

ProfiHitch provides mobile applications for platform access. You must have a compatible mobile device. We do not guarantee compatibility across all devices.

We grant you a non-exclusive, non-transferable, revocable license to use the mobile application on a personal device. Standard data charges may apply. You agree to comply with all applicable third-party terms (e.g., Apple App Store or Google Play).

Token System (Employers Only)

Employers use tokens to initiate contact with Job Seekers and manage hiring pipelines. Tokens are available through subscription plans or add-on purchases.

Token Expiry:

• Semi-annual subscription tokens are valid for 6 months from purchase.
• Annual subscription and add-on tokens are valid for 12 months from purchase.
• Expired tokens are non-refundable and cannot be carried over.

Pricing, Payments, and Billing

• Subscription Plans: ProfiHitch offers tiered plans such as "The Care Connector," "The Healthcare Matchmaker," "Recruitment Catalyst," and "Healthcare Visionary," exclusively for Employers. Full details and pricing are listed on our website.
• Auto-Renewal: Subscriptions renew automatically unless canceled prior to the next billing cycle. Cancellations made after a billing cycle begins will apply to the following cycle.
• Add-ons: Employers may purchase additional tokens at any time.
• Job Seekers: Use of the platform is completely free. No payments or subscriptions are required.

User Content and Intellectual Property

User Content

You retain ownership of the content you submit, including resumes and job postings. By submitting User Content, you grant ProfiHitch a worldwide, non-exclusive, royalty-free license to use, display, reproduce, distribute, and adapt that content solely to operate and enhance the Service. This license ends when your content is removed or your account is closed, unless it has been shared by others who have not deleted it.

You represent and warrant that you have the necessary rights to submit such content and that it does not infringe third-party rights or violate any law.

Platform Content

All content provided by ProfiHitch, including software, designs, logos, text, and interfaces, is the proprietary property of ProfiHitch or its licensors. You may not copy, distribute, or reverse-engineer any platform content without prior written consent.

Content Monitoring

We reserve the right (but not the obligation) to review, monitor, and remove content that violates these Terms or is otherwise inappropriate.

Privacy Policy

Your use of the Service is subject to our Privacy Policy, which outlines how we collect, use, store, and share your information. We comply with applicable data protection laws, including the CCPA and GDPR.

Prohibited Activities

You agree not to:

• Misrepresent your identity or affiliations.
• Upload false, defamatory, unlawful, or infringing content.
• Violate the rights of others, including intellectual property rights.
• Scrape, reverse-engineer, or attempt unauthorized access to the platform.
• Use the platform to harass others or distribute spam.

Termination of Accounts

By You: You may cancel your account at any time by contacting support. Deleted accounts may result in permanent loss of data.

By Us: We may suspend or terminate accounts for violations of these Terms or misuse of the platform. Suspended or terminated users are not eligible for refunds.

Limitation of Liability

The Service is provided "as is" and "as available." ProfiHitch makes no warranties regarding accuracy, availability, or outcomes. Our total liability is limited to the amount you paid in the 12 months prior to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or data.

We do not guarantee job placement, hiring decisions, or employer behavior.

Indemnification

You agree to indemnify and hold harmless ProfiHitch, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising out of your use of the Service, violation of these Terms, or infringement of third-party rights.

Dispute Resolution

Any dispute or claim arising from these Terms or your use of the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association. You waive the right to a jury trial or class action. Injunctive relief for intellectual property violations may be sought in a court of competent jurisdiction.

Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. All non-arbitrable disputes shall be brought exclusively in the courts of Broward County, Florida.

Feedback

By submitting feedback or suggestions, you grant ProfiHitch the right to use them without restriction or compensation. We are not obligated to treat such feedback as confidential.

Notices

You agree to receive legal and service notices electronically, including to your registered email or via the platform. These satisfy any legal requirement for written notice.
