Welcome to ProfiHitch! These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and ProfiHitch, LLC (“ProfiHitch,” “we,” “us,” or “our”) governing your access to and use of the ProfiHitch platform, website, mobile applications, and related services (collectively, the “Service”). By accessing or using the Service, you agree to these Terms.

If you are using the Service on behalf of an organization or entity, you represent and warrant that you are authorized to bind that organization or entity to these Terms.

1. Introduction

By using ProfiHitch, you agree to these Terms and any modifications made to them. We may change these Terms at any time and will notify you of changes by posting the updated Terms on our website, in the mobile applications, or via email. If you do not agree to these Terms or any modifications, you must stop using the Service. By creating an account, clicking “I Agree,” or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Definitions

• Account: A registered account created by a Job Seeker or Employer on the ProfiHitch platform.
• Job Seeker: An individual using ProfiHitch to seek employment opportunities.
• Employer: An organization, company, or entity using ProfiHitch to post job openings and seek candidates.
• Tokens: Units of value that Employers purchase to contact Job Seekers and manage their recruitment pipeline.
• User Content: Any information, data, or content uploaded by users, including resumes, job postings, and profiles.
• Staffing Agency: A third-party recruiting or staffing organization. Staffing Agencies may only use the Service where a Job Seeker has explicitly opted in to visibility by such agencies.

3. Eligibility

To use the Service, you must be at least 18 years old and legally permitted to form binding contracts under applicable law. You may not use the Service if you have been suspended or banned from it, and it is your responsibility to comply with all laws of your jurisdiction when using ProfiHitch. You may also not use the Service if you are a competitor of ProfiHitch, or if you are accessing it to build, analyze, or support a competing platform.

4. Account Registration and Responsibilities

To access certain features of the Service, you must create an Account. You agree to provide accurate, current, and complete information during registration and update it if necessary. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

Verification Process:

Job Seekers must undergo a verification process in which ProfiHitch staff review the submitted resume or CV. Only verified Job Seekers will have full access to platform features such as AI-powered matching, messaging with Employers, and profile visibility controls. Upon successful verification, Job Seekers will receive a verified badge on their profile. Verification confirms that the information submitted appears authentic but does not constitute endorsement, credentialing, or employment approval by ProfiHitch.

5. Use of Services

For Employers:

• Job Postings: Employers may only post legitimate job openings and must ensure all job descriptions are truthful, non-discriminatory, and compliant with employment laws.
• Recruitment Practices: Employers must use the token system responsibly and are prohibited from spamming or misrepresenting opportunities.

For Job Seekers:

• Profile Creation: Job Seekers are required to create an accurate and complete profile to be matched with Employers.
• Visibility Control: Job Seekers can control which Employers can view their profiles, ensuring confidentiality.

General Disclaimer:

ProfiHitch does not employ Job Seekers, guarantee employment, or make hiring decisions. All hiring arrangements occur directly between Job Seekers and Employers.

6. Mobile Applications

ProfiHitch provides mobile applications that allow you to access and use the Service on a compatible mobile device. We do not warrant that the mobile application will be compatible with every device or operating system. You agree to comply with all applicable third-party terms and conditions (e.g., App Store, Google Play) when using the application.

ProfiHitch grants you a non-exclusive, non-transferable, revocable license to install and use one object-code copy of the mobile application on a mobile device that you own or lease for your personal use. Standard carrier data charges may apply. ProfiHitch may issue updates or patches to the mobile application, which you must install to continue using the Service.

7. Token System (Employers and Approved Staffing Agencies Only)

Employers and Staffing Agencies use tokens to contact Job Seekers and manage the recruitment process. Tokens can be purchased as part of subscription plans or as add-ons.

Token Expiry:

• Semi-annual subscription tokens roll over and remain valid for up to six (6) months from the purchase date.
• Annual subscription tokens and add-ons are valid for up to twelve (12) months from the purchase date.
• Tokens not used within these periods will expire and cannot be carried over or refunded.

Tokens and subscriptions are non-refundable and non-transferable once purchased, regardless of usage.

8. Pricing, Payments, and Billing

Subscription Plans:

ProfiHitch offers subscription plans such as The Care Connector, The Healthcare Matchmaker, Recruitment Catalyst, and Healthcare Visionary, available exclusively for Employers and approved Staffing Agencies. Pricing and plan details are listed on our website and may be updated periodically.

Auto-Renewal:

Subscriptions renew automatically at the end of each billing cycle unless canceled by the Employer before renewal. Cancellations made after the renewal date will apply to the next billing period.

Add-ons:

Employers may purchase additional tokens or related services at any time to supplement their active subscription plan.

Payment Processing:

All payments are processed through secure third-party payment processors. ProfiHitch does not store full payment information. By submitting payment, you authorize us to charge your selected payment method for applicable fees.

Free Access for Job Seekers:

Job Seekers may use the platform and its features free of charge. No payment or subscription is required for Job Seekers.

Pricing Adjustments:

ProfiHitch reserves the right to modify its pricing structure or plan features with at least thirty (30) days’ notice to active subscribers.

9. User Content and Intellectual Property

User Content:

Users retain ownership of any content they upload to the Service, such as resumes, job descriptions, or profiles. By submitting content, you grant ProfiHitch a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute such content solely to operate, enhance, and promote the Service. ProfiHitch may anonymize and aggregate User Content for analytics, AI training, and platform improvement.

Platform Content:

All software, designs, text, graphics, logos, and other proprietary materials made available through the Service are owned by ProfiHitch or its licensors and are protected under applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the platform without prior written consent.

Prohibited Content:

Users may not upload or post content that is fraudulent, defamatory, obscene, harassing, or that infringes upon the rights or intellectual property of others.

10. Privacy Policy

Your use of the Service is subject to our Privacy Policy, which explains how ProfiHitch collects, uses, and protects your personal information. ProfiHitch complies with applicable data protection laws, including the GDPR and CCPA, and employs reasonable administrative, technical, and physical safeguards to secure user data.

11. Prohibited Activities

Users agree not to:

• Misrepresent their identity or submit false or misleading information.
• Post fraudulent, discriminatory, or deceptive job listings.
• Use the platform to harass, threaten, or harm others.
• Scrape, crawl, or attempt to access data or systems without authorization.
• Use automated tools, bots, or scripts to collect platform data.
• Access or use the Service to build, analyze, or support a competing platform.
• Violate any applicable law, regulation, or these Terms.

ProfiHitch reserves the right to monitor and remove content or activity that violates these Terms.

13. Limitation of Liability

The Service is provided “as is” and “as available.” ProfiHitch makes no representations or warranties of any kind regarding the reliability, accuracy, or availability of the Service.

To the fullest extent permitted by law, ProfiHitch’s total cumulative liability shall not exceed the greater of one hundred dollars ($100) or the total amount paid by you for the Service in the twelve (12) months preceding the claim. ProfiHitch shall not be liable for indirect, incidental, consequential, punitive, or special damages, including loss of data, profits, or goodwill.

ProfiHitch does not guarantee employment, job placement, or hiring outcomes for any user.

14. Indemnification

You agree to indemnify, defend, and hold harmless ProfiHitch, its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

(a) your use of the Service;

(b) your violation of these Terms; or

(c) your infringement of any third-party rights, including intellectual property or privacy rights.

16. Jurisdiction and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

To the extent any dispute is not subject to arbitration, you agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in Broward County, Florida.

17. Amendments to the Terms

ProfiHitch reserves the right to modify or update these Terms at any time. Significant changes will be communicated through the platform or by email. Continued use of the Service after notice of such changes constitutes your acceptance of the revised Terms.
